Terms & Conditions

By accessing or using the HomeWell AI platform (the "Platform"), including its website, mobile applications, and any related services (collectively the "Services"), you ("User") agree to be legally bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must immediately cease all use of the Platform.

These Terms apply to all users of the Platform, including homeowners ("Customers") and service professionals ("Contractors" or "Pros"). By creating an account as either a Customer or Contractor, you represent that:

• You are at least 18 years of age
• You have the legal authority to enter into this agreement
• You have read, understood, and agree to these Terms

Your continued use of the Platform after any posted modification to these Terms constitutes acceptance of those changes.

HomeWell AI provides a software-as-a-service ("SaaS") home maintenance management and contractor connection platform that may include:

• AI-assisted home maintenance schedules
• property maintenance tracking
• seasonal home preparation reminders
• contractor discovery and communication tools
• home health insights and reports
• subscription-based platform features
• remote home monitoring or "Away Mode" management features

AI-generated cost estimates, home insights, and recommendations are provided for informational purposes only and are not guarantees of pricing, safety, or outcomes. Actual conditions, costs, and service requirements may vary significantly.

HomeWell AI does not guarantee that the Platform will be available at all times or free from interruptions, delays, errors, or security vulnerabilities. The Platform may be temporarily unavailable due to:

• maintenance or system updates
• infrastructure failures
• third-party outages
• cyberattacks or security incidents
• internet disruptions
• events outside the control of HomeWell AI

HomeWell AI reserves the right to modify, suspend, or discontinue any feature or portion of the Platform at any time without liability.

To access certain features, users may be required to create an account. You agree to:

• provide accurate and complete information
• maintain the confidentiality of your login credentials
• promptly update any inaccurate information
• accept responsibility for all activity occurring under your account

HomeWell AI is not responsible for unauthorized access resulting from your failure to protect account credentials.

Users agree not to:

• Use the Platform for unlawful purposes
• Submit false, misleading, or fraudulent information
• Harass, threaten, or abuse other users
• Attempt to gain unauthorized access to systems or accounts
• Interfere with platform functionality or security
• Use bots, scraping tools, or automated systems to extract data
• Upload malicious code or harmful software

HomeWell AI reserves the right to suspend or terminate accounts that violate these rules.

HomeWell AI does not process or hold payments for contractor services. All payment transactions are processed by Stripe, Inc., an independent third-party payment processor.

By using payment features of the Platform, you agree:

• Stripe processes all transactions
• Stripe's Terms of Service apply to all payments
• HomeWell AI does not hold or transfer funds
• HomeWell AI is not a financial institution or money transmitter

Subscription fees for access to the Platform may be billed through Stripe. Payments for contractor services are negotiated directly between Customers and Contractors. HomeWell AI is not responsible for payment disputes, chargebacks, or refunds.

HomeWell AI stores user data using third-party infrastructure providers including Supabase. Data may include account information, home details, maintenance records, communications, scheduling and service records.

Users are responsible for maintaining their own copies of important information. Data may be permanently deleted upon account termination.

All software, algorithms, AI models, designs, logos, trademarks, platform content, and technology associated with HomeWell AI are the exclusive property of HomeWell AI or its licensors.

Users receive a limited, non-exclusive, non-transferable license to access the Platform solely for personal or business use as intended. Users may not:

• copy or reproduce platform software
• reverse engineer the platform
• attempt to extract algorithms or proprietary logic
• distribute platform content without authorization

All contractors listed on the Platform are independent third-party businesses. HomeWell AI does not employ contractors, supervise contractor work, control contractor pricing or scheduling, or guarantee contractor services. Any agreement for services exists solely between the Customer and Contractor.

HomeWell operates solely as a technology platform connecting homeowners with independent service providers. HomeWell does not perform services or participate in contracts between users. Use of the platform does not create a partnership, agency, or employment relationship.

Maintenance reminders, home health insights, and recommendations are provided for general informational purposes only. These insights are generated using user-provided data and general maintenance guidelines. HomeWell AI does not guarantee the accuracy, completeness, or suitability of such recommendations. Homeowners remain responsible for evaluating their property conditions and consulting qualified professionals.

Information provided by the Platform does not constitute engineering advice, construction advice, plumbing or electrical advice, financial advice, insurance advice, or legal advice. Users should consult qualified professionals when necessary.

By using the Platform to locate or communicate with contractors, users acknowledge that contractors are independent businesses, HomeWell AI does not control service outcomes, and hiring contractors involves inherent risks. Users assume full responsibility for evaluating contractors and supervising work performed.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMEWELL AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes damages related to contractor performance, property damage, personal injury, service delays, inaccurate recommendations, data loss, and platform outages.

HomeWell AI's total liability shall not exceed the greater of (A) subscription fees paid in the previous 12 months, or (B) $100 USD.

You agree to defend, indemnify, and hold harmless HomeWell AI and its officers, employees, affiliates, and agents from any claims, damages, losses, or legal expenses arising from your use of the Platform, disputes between users, contractor services, violations of these Terms, or violation of laws or third-party rights.

These Terms are governed by the laws of the State of New York. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA). Users waive the right to a jury trial and class action. Arbitration will occur in Chautauqua County, New York unless conducted remotely.

HomeWell AI may suspend or terminate accounts at any time for violations of these Terms. Upon termination, platform access ends immediately, subscription fees are non-refundable unless required by law, and data may be permanently deleted. Sections relating to liability, indemnification, and dispute resolution survive termination.

HomeWell AI reserves the right to modify these Terms at any time. Users will be notified through updated "Last Updated" dates. Continued use of the Platform indicates acceptance of revised Terms.
